Contract Separation Frameworks in Technology Sector Divestitures: A Process Theory Perspective

Technology sector divestitures present unprecedented challenges in managing complex customer contracts and digital service relationships that extend beyond traditional theoretical frameworks.This study develops an integrated three-dimensional framework for managing customer contract separation during technology unit divestitures, advancing existing divestiture theory through novel theoretical constructs for digital service environments.Using qualitative single-case methodology, we examined comprehensive transition documentation from a connected devices division separation to understand mechanisms enabling successful contract separation.Our analysis revealed three critical theoretical dimensions: customer relationship complexity, revenue structure integration, and operational continuity requirements.The findings demonstrate that successful technology separations require sophisticated theoretical approaches fundamentally different from traditional separation frameworks.We introduce novel theoretical constructs for managing minimum commitment allocations and service continuity during transitions, extending existing divestiture literature into digital service contexts.This study contributes to divestiture theory by establishing new principles for managing digital service relationships during separations and introducing frameworks for revenue attribution in complex service environments.The theoretical advances have significant implications for scholars and practitioners, suggesting that technology sector divestitures require specialized theoretical frameworks that differ fundamentally from traditional separation approaches.
